Navi's Prosus deal cleared by CCI as IPO plans firm up
The CCI cleared Prosus's minority investment in Navi. Reports differ on the amount, from $100 million to Rs 940 crore, and Sachin Bansal keeps 84.34%.
The Competition Commission of India (CCI) has cleared Prosus's plan to take a minority stake in Navi, the fintech founded by Flipkart co-founder Sachin Bansal, Inc42 reported on 30 October. Entrackr, reading the company's filings, says Navi raised Rs 940 crore from Prosus at a valuation of Rs 13,192 crore, leaving Bansal with 84.34%. The two outlets describe the round differently, and the gaps are worth knowing before the company files for its stock market listing.
What was cleared and what was raised
Inc42 says Prosus agreed in August to invest $100 million, which it puts at "over Rs 955 crore", and calls this Navi's first institutional funding round. The article does not give the valuation, the stake or the use of funds. Entrackr's "Decoding" piece, written from the allotment, says Navi issued 23,94,29,444 compulsorily convertible preference shares (CCPS) at Rs 39.26 each. CCPS are shares that later convert to ordinary shares at agreed terms. Prosus Ventures invested through its subsidiary MIH Payments Holdings B.V., as the sole investor, and the money is meant for business expansion, investments in subsidiaries and general corporate purposes under a business plan agreed with the investor.
Two points do not match. The amount is Rs 940 crore in one report and "over Rs 955 crore" in the other, which may reflect exchange rates on different dates, though neither article says so. And Inc42 calls this the first institutional round, while Entrackr refers to a previous round in April 2020 at a valuation of Rs 4,260 crore, which it estimates the new valuation more than tripled. Those two statements cannot both be read as complete, so readers should treat "first" as disputed.
Who owns what now
According to Entrackr, after the allotment Bansal holds 84.34%, Prosus Ventures 8.59% (the largest outside investor), co-founder and CFO Ankit Agarwal 0.85%, Paresh Sukthankar (a former HDFC Bank deputy managing director) and Sangeeta Sukthankar together 0.21%, and Anand Rao, a former co-founder of Navi Finserv, 0.08%. Inc42 quotes Bansal calling it "a strong endorsement of the institution we're building at Navi".
The business behind the deal
Navi works in lending, insurance, mutual funds and UPI payments, and launched motor insurance in March 2026, per Entrackr. Inc42 reports that Navi UPI is India's fourth-largest third-party app by transaction volume and that Navi Finserv's assets under management crossed Rs 13,000 crore. For FY26, Navi Finserv's standalone net profit rose 32% to Rs 292.2 crore on operating revenue up 8% to Rs 2,461 crore. At the consolidated group level, net profit fell 46% to Rs 93.3 crore while operating revenue grew 17% to Rs 2,691.5 crore. The group reported consolidated profitability in the fourth quarter of FY26 without giving figures.
IPO plans
Inc42 says reports suggest Navi could refile its draft IPO papers with SEBI by December, seeking a fresh issue of about Rs 3,000 crore, with JM Financial, Kotak Mahindra Capital, Goldman Sachs and JPMorgan reportedly appointed as advisers. This would be a second try; the company filed for a Rs 3,350 crore IPO in 2022 and shelved it in weak markets. Entrackr separately notes media reports of talks to raise $40 million from Elevation Capital. These are reports, not company announcements.
What it means for readers
For fintech founders, the deal shows a large global investor still backing an Indian lender-led fintech, with the founder keeping over 84%. For Navi's customers, nothing changes immediately. For people tracking IPOs, a valuation of Rs 13,192 crore, if Entrackr's figure is right, is a reference point, though listing prices depend on market conditions and regulator review.
